Alexandra Davidoiu is a managing associate of Voicu & Asociații. She focuses her practice on real estate, construction, corporate and commercial, as well as retail and consumer protection.

She has been involved in complex real estate projects in connection with acquisition and development of buildings for both residential and business purposes from the early stages of client’s intention on initiating the project to negotiations, performance of due diligence investigations on target assets and closings. She is also very experienced in advising on construction agreements as well as lease agreements on both landlords and tenants’ sides on negotiations, drafting/reviewing, follow-up on performance, as well as advice on contractual breach.

On retail and consumer protection, Alexandra Davidoiu has been long-time actively involved in providing complex legal assistance in connection with retailers’ projects for extension of their retail chain including acquisitions, leases, constructions and compliance with relevant laws.

 Assisting the Romanian subsidiary of one of the leading European retailers, in connection with a series of real estate acquisition projects as part of the client’s nationwide retail chain expansion; conducting due diligence investigations on target real estates, negotiation and drafting of transaction documents, assistance in completing transactions.
 Assistance to the Romanian subsidiary of one of the leading European retailers on a series of legal matters related to the client’s business activity such as: (i) negotiating and signing of agreements with suppliers, distributors and other service providers (ii) advice related to various controls from different Romanian public authorities, as well as assistance in connection with the procedure of obtaining specific permits (iii) activities related to social responsibility involvement, (iv) trademark related issues, (v) labor law etc.
 Part of the legal team retained as day-to-day legal counsel by one of the largest real estate developers active on the Romanian market. Current legal assistance in relation to all projects developed by the client throughout Romania, including involvement in extensive legal due diligence investigations and drafting the relevant reports.
 Assistance to a major bank active in Romania and its real estate division in a complex assets disposal project; coordinating this ongoing project, which up to this moment has covered approximately 300 real estates (residential, industrial, commercial properties and regulated land plots and agricultural land) and which includes conducting due diligence investigations on each individual asset, assessing ownership documentation, completing the files of each asset to prepare such for sale.
 Active involvement in extensive due diligence investigations on target real estates or companies, in view of the clients’ real estate acquisitions or merger and acquisition transactions.
 Assistance to various real estate developers in all phases of their investments, from land and immovable acquisitions (including extensive due diligence investigations, drawing up and negotiating the transaction documents, assistance upon the execution of the sale and purchase agreement, assistance on the finance documents, post-signing assistance), to real estate project development (including reviewing, drawing up and negotiating various works execution agreements, development financing, drawing up, negotiating and assistance on concluding lease agreements), and up to project sales.
 General assistance to a significant player on the Romanian motor vehicle and spare parts markets on various projects related to the client’s day-to-day business activity, including corporate reorganization, financing, designing and negotiating security packages.
 Assistance to a provider of social, cultural, sport and leisure facilities with respect to several legal projects concerning the client’s general activity. Rendered services included revision of lease agreements, review of the legal status of certain real estate.
 Assistance to a US company provider of golf course design, construction and management with respect to the revision of the works performance agreement concluded with a Romanian contracting authority, for the purposes of building in a golf course in Sibiu.
 Assisting an Austrian-Romanian company active in the exploration, engineering and production fields, with respect to general legal matters in relation to the client’s daily activity, and corporate and contractual matters.
 Assistance to various clients in relation to company registration, obtaining required authorizations and licensing for operations, advice on increases and decreases of share capital by various methods, dividends allocation, advice on compliance issues, assistance on a wide range of corporate governance matters, including voting rights and shareholders’ agreements, company reorganizations.
 Assisting clients in relation to public authorities and institutions, including Trade Registry, Electronic Archive for Secured Transactions, Land Book etc.
 Assistance to various clients in structuring complex merger and acquisition transactions; preparation of preliminary and final offers and related documentation; assisting during bidding procedures and/or direct negotiations; providing legal services, including legal due-diligence, in order to assess key issues regarding the target (; assessing key issues related to the implementation of the transaction; preparation and negotiation of the transaction documents and related documents; conducting meetings with the relevant Romanian authorities, proceeding to duly registration and publication.
 Assistance and consultancy to various public sector bodies, private sector companies and consortia on procurement issues and concession contracts, including assistance during the bid, direct agreements and lenders and subcontractors. Rendered services also include advising companies on facilities management and operating contracts, as well as advising lenders and consortia on project finance issues, including the negotiation of loan and security agreements.
