Voicu & Filipescu lawyers successfully completed the intra-group reorganization project of a multinational company active in the field of consulting, technology and management services, consisting of the acquisition of an entity from the group followed by the merger between the two companies.
The firm assisted the client from a 360-degree perspective, offering integrated services in corporate law, labor law as well as taxation issues, through Voicu & Filipescu Tax Advisers SRL.
Thus, in order to fully address all aspects of the transaction, in addition to the advice offered in corporate matters (preparation and registration with the Trade Register of the documents for the acquisition of social shares and merger), the project involved advice on aspects of labor law consisting in the transfer and the subsequent integration of the employees of the absorbed company (the necessary operations in the electronic register of employees – REVISAL, the alignment of employment conditions, among others), operational (the situation of the locations of the absorbed company) as well as interdisciplinary with the field of taxation.
The project, whose value was in amount of tens of millions of euros, was coordinated by Marta Popa, Senior partner of Voicu & Filipescu who worked closely with Alexandru Tabacu, Partner Voicu & Filipescu Tax Advisers, for tax aspects, and Vlad Irimia, Managing associate (labor law) and Beatrice Bălbărău, Associate (corporate law).
