– Assisted a multinational meat processing company in the process for the reorganization of the company, carried out in view of the client’s establishing a joint venture, by a transaction creating the leading company in the Romanian processed meat market

– Assisted a major European-based cement producer, acting as prospective buyer, in connection with the envisaged acquisition of the entire business of a foreign Group in Romania, as part of the divestment process imposed by the European Commission in the context of a planned merger; services rendered so far have covered conducting legal due diligence investigations over the entire foreign group business carried out via 8 separate Romanian legal entities and delivering the relevant reports

– Assisted the central institution of one of the top-players in Austria and Central and Eastern Europe in the acquisition of a majority stake in a Romanian state-owned bank, and with respect to a large range of transaction post-completion legal matters, including assisted in front of the Competition Council in respect of the notification of the economic concentration on the banking market

– Assisted the Romanian subsidiary of a large insurance group in restructuring its Romanian subsidiary by transformation in a branch through a cross-border merge

– Assisted the shareholders of a leading imaging center active in Romania’s Oltenia region in the sale of 100% of the company’s shares to a member company of the largest private healthcare provider in Romania; rendered services also referred to the termination/rescheduling, as part of the deal, of the sellers’ debts towards medical equipment providers (including debts subject to enforcement procedure)
