– Assisted a Nederland based holding company providing insurance and pension services in CEE and CIS in the process of acquisition of the majority stake in an insurance company and on all corporate matters related to the shareholding, as well as implementation of their acquisition strategy

– Assisted a group of companies established by a Romanian entrepreneur, majority shareholders of a Romanian bank, in the process of selling a part of their stake and attracting a new investor; rendered services included legal assisted in the discussions with interested investors, entering into documents transactions with two selected investors and in the final sale

– Assisted a subsidiary of a German group in all phases of the client’s merger with a railway constructor; rendered services included legal and tax assisted on preparing the merger project and filing such with the Trade Register, as well as on preparing and registering all relevant corporate and internal documentation

– Assisted a key player active in the telecom industry in relation to attempted acquisition of main competitor on several market segments; rendered services included determination of regulatory and competition implications of the project, structuring of the transaction, assisted in negotiations with other potential purchasers to set up a JV structure and potential financing institutions, setting-up the JV company and drafting/negotiating part of the transaction documents

– Assisted a major independent international private equity group in the disposal of a 20% stock in a Romanian Bank to a Hungarian bank held by a German Bank Group
