Marta Popa is deputy managing partner of Voicu & Asociații. She has wide experience in various practice areas, including corporate consultancy, mergers and acquisitions, project finance, data protection and employment law, as well as public procurement procedures in sectors including oil & energy and healthcare.

Marta Popa has been involved in some of the most important legal due diligence investigations and transactions in Romania, gaining particular expertise in detailed investigations of domestic companies and drafting due diligence reports, advising major foreign clients or the Romanian state during private acquisitions or sales of State-owned stakes in Romanian companies.
She has more than 20 years’ experience assisting world-leading companies in management consulting, IT services, complex outsourcing agreements, data protection and privacy matters, and is the author of various articles published in international and Romanian magazines.

 Leader of the legal team retained by an international investment bank, the largest investor in Romania, for performing a due diligence investigation on the largest Romanian group acting in the food industry, in view of granting and securing a EUR 250 million loan. Drafted security documents and provided specific advice under Romanian law.
 Leader of the legal team retained by an international investment bank for performing a due diligence investigation and drafting the security documents in respect of the Romanian subsidiary of a Cyprus based group, having an annual turnover around US$ 250 million, in the process of granting and securing a EUR 16 million loan.
 Part of the team advising an international investment bank in the EUR 24 million loan to a Romanian National Company for the construction of a 110 km over-head electric transmission line.
 Assisted an international investment bank in reviewing the tendering procedure implemented by a Romanian municipality for its multi-annual investment program for the thermal rehabilitation of a few hundred real estates. Services rendered included a thorough assessment of and preparing a report on the compliance of the tendering procedures implemented by the contracting public authority with the EU and Romanian public procurement legislation.
 Assistance to a Romanian municipality on all legal matters in connection with a series of public procurement procedures organized by the municipality for the purpose of awarding contracts for the purpose of achieving its objectives under the local thermal rehabilitation program
 Lead advisor to a world-leading management consulting, technology services and outsourcing company, in the opening and developing of a Business Process Outsourcing Center in Romania.
 Assistance to various world-leading management consulting, technology services and outsourcing companies, acting as bidders, in a series of procurement procedures organized for the award of consultancy services and implementation of customized software solutions. Rendered services cover assistance in preparing and submitting the offer, assistance in negotiating the contractual clauses and on concluding the services agreement with the respective beneficiaries.
 Assistance to a global technology company on a variety of legal issues related to its day-to-day business activity, including open of the Romanian subsidiary, general advice on corporate and commercial matters, various employment and data privacy issues, moving of the company headquarters etc

 Assistance to a global, integrated specialty pharmaceutical company focused on developing, manufacturing and distributing generic, branded pharmaceutical and biosimilar products, on a complex employment project in connection with the company’s restructuring, as part of the post-merger integration of said company with another worldwide market player (in this matter we acted as subcontractors of an international law firm).
 Assistance to a worldwide electronic manufacturing services company, on employment matters under Romanian legislation in connection with the client’s opening of a greenfield production facility in Romania.
 Assistance to a leading construction company in the public procurement procedure organized by the Romanian state-owned roads company for the design and construction of Timisoara Sud by-pass; rendered services included preparation of the offer, including assessment of tender documentation and drafting proposals for clarification requests, drafting of documents regarding third party upholder, double checking of DUAE form, drafting the letter of bank guarantee for bid bond, analyzing clarifications posted in SEAP, other relevant advice on the legal aspects of the tender, including final check of the offer together with the client’s team.
 Assistance to a well-known German company specialized in nuclear service, nuclear technology, magnet technology and environmental technology, in connection with a series of public procurement. Rendered services include assistance in preparation of the offers submitted in a series of public procurement procedures organized by major Romanian energy companies, as well as in the complaints filed in front of the National Council for Solving Complaints and the litigation files pursued in front of the Romanian courts related to the said awards, in cases worth more than EUR 300 million.
 Assistance to a well-known Romanian engineering company and an active trader of electricity, in a series of public procurement procedures organized by Romanian public companies active in the energy field; project values up to EUR 70 million.
 Assisting a market-leading supplier of products and services for the power generating industry, in preparation of the offers, response to clarifications, negotiation of contractual deviations, complaints against the tender documentation in a series of public procurement procedures organized by major Romanian energy companies, and by Romanian municipalities, with the purpose of awarding contracts for rehabilitation and modernization of power units and retooling of hot water boilers, under FIDIC Yellow Book (2012-2013).
 Assistance to the Romanian subsidiary of a major player providing medical equipment and specific maintenance and support services, in identifying the best bidding solutions in relation to various public procurement procedures, as well as in the response to clarifications, obtaining necessary documentation to be submitted, assistance in complaints in front of CNSC and litigation files in front of the Romanian courts related to a series of such procedures with the object of purchase of medical equipment (RMN, computer tomography), especially organized by Romanian public hospitals (2006-2014).
 Assistance to a major Italian energy producer in a tender procedure to partner with the Romanian Termoelectrica for the construction of new energetic groups in Galati, Borzesti and Doicesti.
 Assistance to a real estate company on drafting and negotiating project management agreement aimed at the demolishing of the buildings owned by a former factory and subsequent construction of an office buildings complex on a 5 ha land located in the center of Bucharest.

 Representation of an US micro-lending organization in the sale of the majority stake in a Romanian non-bank financial institution to an American enterprise fund.
 Representation of the Romanian subsidiary of a major US company active in the powder and explosives business in securing payment obligations under a credit facility agreement for a US$ 200 million financing.
