Managing Associate

Alice Ene is a managing associate of Voicu & Filipescu and one of our experienced banking and finance lawyers, having assisted financial institutions on day-to-day operations as well as transactional work. Her general practice covers corporate and commercial, banking and finance, insolvency, mergers and acquisitions, capital markets. She assisted major national and international players and leading financial institutions in relation to various loan restructuring projects, financing and securitization.

She is also an insolvency practitioner with experience in insolvency administration/liquidation and restructuring by assisting clients throughout all the steps of reorganization and insolvency, including judicial and voluntary reorganization, pre-insolvency proceedings, bankruptcy and liquidation, asset recovery and/or negotiations with debtors and creditors.

She has remarkable experience in litigation in the insolvency files including recovery of receivables, cancellation of fraudulent acts, challenging the measures ordered by judicial receivers, successfully handling assignments entrusted by clients in a wide range of sectors.

Representative Projects ...

 Assistance and representation of an important City Hall of a city in Romania with approx. 115,000 inhabitants in a series of litigation cases, including conflicts with Compania de Apa, complaints against decisions of Curtea de Conturi (Court of Accounts – state authority with attributions of control for use of public funds), problematic insolvency cases having the City Hall as a majority creditor (over 150 files) and also legal claims against individuals who failed to pay their taxes to the local budget.
 Involved in the team assisting a financial group with presence in the European market in the tentative acquisition of a small Romanian bank.
 Assisting the local management of a subsidiary of a major Cyprus bank, under resolution, in the revision of the transaction documents with emphasizing on the warranties to be granted by the seller based on the endorsements from the local management, as well as on other Romanian regulatory aspects and assistance to closing; we also advised the bank in renewing its D&O policy with extended run-off coverage, including in the negotiation with the international insurance broker intermediating the renewal.
 Involved in the full due diligence investigations conducted in relation to a top Romanian bank, acting as buyer, in connection with its intended acquisition of all Romanian operations of Bank of Cyprus, including transaction assistance.
 Assistance to a group of foreign investors in the due diligence investigations conducted for the client’s attempted acquisition of the company a major five stars hotel located in Bucharest.
 Assistance to a major European-based cement producer, acting as prospective buyer, in connection with conducting a due diligence over the entire business of the world leader in building materials with top-ranking positions in cement and aggregates in Romania, for an attempted acquisition aimed by the client as part of the divestment process imposed by the European Commission in the context of the planned merger with another important player of the same market .
 Assistance to the seller – shareholders of a Romanian bank listed on the Bucharest Stock Exchange – as legal counsel in the procedure of selling a majority stake.
 Assisted a highly active leasing company in financing some photovoltaic projects in total capacity of approx 7.5 MW, with financing amounts of approximately EUR 8.4 million.
 Involved in the due diligence investigations conducted in relation to the acquisition by an international company of a major automotive dealer, holding 40 showrooms, in the first exit on the Romanian automotive market.
 Assistance to the international association representing, leading and serving the airline industry on the insolvency procedure of its members.
 Assistance to a top-tier oilfield service company, on various legal matters in connection with the insolvency proceedings of an important Romanian company, acting in the same industry.
 Assistance to a multi-brand automotive dealer active on the Romanian market, in relation to the negotiation and implementation of the credit facilities agreements to finance the purchase of the vehicles, and also on the insolvency matters of certain distributors.
 Assistance to the world leader in nutrition, health and wellness, on the insolvency proceedings opened against its distributors.
 Assistance of one of the most active retail park developers on the Romanian market on the insolvency procedure and restructuring of its real estate projects in Botosani, Focsani, Deva and Bacau.
 Assistance to a credit institution in relation to a EUR 60 million syndicated loan granted together with another credit institution to the construction company Hidroconstructia S.A. Allowing the issue of guarantee letters for the firm’s contracts, the transaction is the first syndicated lending transaction including among banks a general insurer.
 Assisted one of the top ten banks acting on the Romanian market in relation to the externalization of certain assets to a Special Purpose Vehicle abroad, by the way of assignment of the receivables.
 Involved in the due diligence investigations conducted in relation to the acquisition by an international company of a major automotive dealer, holding 40 showrooms, in the first exit on the Romanian automotive market.
 Assisting a regional financial group, already present in leasing and consumer credit business in Romania, in extending its activities in securities intermediation and asset management.
 Assisted international banking groups in implementation of specific loan warehousing structures in favorable jurisdictions or in securitization of their Romanian loan portfolio.
 Acting as a legal counsel in relation to a nationwide debt recovery plan initiated by a major leasing company acting on the Romanian market against more than 400 default clients; rendered services include assistance in foreclosures proceedings, to initiating summary and common legal actions, or representation in insolvency procedures and bankruptcy legal files.
 Represented debtors, unsecured creditors and creditors’ committees in all aspects of Romanian insolvency cases, as well as secured creditors in reclaiming collateral and negotiating strong cash collateral, litigating oppositions for relief from the stay, determining the non-dischargeability of debts and rehabilitating debtors through creative and effective plans of reorganization.
 As an insolvency practitioner, involvement in more than 70 cases for active debtors in a variety of industries such as food, construction, shopping centers, real estate (commercial, residential, office), research, media, HoReCa, sports, pharmaceuticals, manufacturing (including heavy industry).
